carry v1.0

Carry — Terms of Service

These terms are an agreement between you and Percuno FZE, a free zone establishment licensed in Sharjah Publishing City Free Zone, Sharjah, United Arab Emirates (“Percuno”, “we”, “us”). They govern your use of Carry — the Carry applications for desktop, mobile and web, and the service that syncs and stores your data (“Carry”, “the Service”).

By creating a Carry account or using Carry, you accept these terms. If you do not accept them, do not use Carry.

How we handle your personal data is a separate document: the Carry Privacy Policy. It forms part of these terms.

Carry is currently in private beta. Section 9 says what that means for what you can expect, and it is the section to read if you are deciding whether to trust Carry with something that matters.

You need an account. You can create one with an email address and a password, or by signing in with Apple or Google.

We may suspend or close an account that breaks these terms. Where we can, we will warn you first and give you a chance to put it right. For a serious or repeated breach, or where there is a risk to other users or to the Service, we may act immediately. If we close your account for a reason other than your breach of these terms, we will give you a reasonable opportunity to export your data first.

Carry stores your tasks, lists, notes, bookmarks and attached files, syncs them between your devices, sends you the reminders you set up, and lets you share lists and notes with other people. If you connect Google Calendar, it will also show your calendar alongside your tasks.

We may add, change or remove features. Where a change materially reduces something you are paying for, §8 says what happens.

You own everything you put into Carry. Your tasks, your notes, your files. These terms give us no ownership of any of it.

You grant us only the permission we need to actually run the Service for you: to store your content, to transmit it between your devices, to back it up, to display it to you and to anyone you have deliberately shared it with, and to create thumbnails of images you attach. That permission exists so Carry can work, it lasts only as long as you keep the content in Carry, and it ends when you delete the content or your account.

That permission does not extend to anything else. We do not use your content to train machine-learning models, we do not mine it, we do not sell it, and we do not show it to anyone you have not shared it with. The limited circumstances in which a person at Percuno may look at account content — running the Service, or investigating a fault — are described in the Privacy Policy.

You are responsible for your content. Specifically, you confirm that you have the right to store and share what you put into Carry, and that it does not infringe anyone else’s rights or break the law.

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Carry applications on devices you own or control, for your own use — personal or work — for as long as these terms apply and your account is in good standing.

You may not:

This is a licence, not a sale. Carry, the Carry applications, the Service, and the names “Carry” and “Percuno” belong to Percuno FZE, along with all the intellectual property in them. Everything we have not expressly granted you, we keep.

Open-source components. The Carry applications include third-party open-source software. Where an open-source licence gives you rights that conflict with this section, that licence governs that component.

Updates. We may issue updates, and the applications may install them automatically. An update is covered by these terms unless it comes with its own.

Use Carry for whatever you like, within the law and these terms. You may not:

Limits. Carry applies limits — currently 50 MB per attachment, and limits on how much telemetry a client may submit. We may change them, and we may apply fair-use limits to protect the Service for everyone. We will not use a limit change as a way of quietly withdrawing something you have paid for.

When you share a list or a note:

If you are invited to a shared list or note, these terms apply to you as well, and the owner may remove your access at any time.

We are not a party to your collaboration. Disputes about shared content are between the people sharing it. We will not arbitrate them, and we will not hand one user’s content to another on request.

Some features need a paid subscription.

We may change Carry, and we may change these terms. If we change the terms we will update the date at the top. If a change materially affects your rights or obligations, we will tell you in the app or by email before it takes effect, and continuing to use Carry after that means you accept it. If you do not, close your account — and export your data first, which you can do at any time.

If we discontinue a paid feature, or discontinue Carry altogether, we will give you reasonable notice, a reasonable period to export your data, and a pro-rata refund of any period you have paid for and will not receive. For a store-billed subscription we will do that through the store or directly, whichever actually works.

Carry is in private beta. Plainly:

Everything in §§10–12 applies with particular force during the beta.

We work to keep Carry up and your data intact, but we do not guarantee uninterrupted or error-free service. We may take it down for maintenance, and we will try to do that at a sensible time and tell you in advance where we can.

Carry needs an internet connection to sync. The applications work offline and sync when you reconnect, but anything that depends on the server needs the server.

To the fullest extent the law allows, Carry is provided “as is” and “as available”, without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that Carry will meet your requirements, that it will be uninterrupted or error-free, that defects will be corrected, or that it is free of harmful components.

Nothing in these terms excludes or limits any right you have that cannot be excluded or limited under the law that applies to you. If you are a consumer, you may have rights under your local consumer-protection law that these terms cannot take away, and nothing here affects them.

To the fullest extent the law allows:

These limits do not apply to liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited. And again: nothing here affects a consumer right that cannot be excluded under the law that applies to you.

If you got the Carry app from the Apple App Store, you also acknowledge:

If you got the Carry app from Google Play, these terms are between you and Percuno, not Google; Google is not a party to them and is not responsible for Carry or for any claim relating to it. Your use of Google Play is governed by Google’s own terms.

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah, and disputes are subject to the jurisdiction of its courts.

If you are a consumer resident in a country whose law gives you the right to bring proceedings in your local courts, or entitles you to the protection of your local law, these terms do not take that away.

You can stop at any time. Delete your account in the app, or write to hello@percuno.com. Deleting your account permanently deletes your data — it is not a deactivation and there is nothing to restore afterwards, so export anything you want to keep first.

We may suspend or terminate your access as described in §1.

When this agreement ends: your licence under §4 ends and you must stop using the applications; your data is deleted as described in the Privacy Policy; any store subscription must be cancelled with the store; and §§3 (as to content you have already removed), 11, 12, 14 and 16 survive.
